4.3 AI Performance and User Input Dependency

The performance of BoodleX AI's AI-powered tools depends on user input, including:

• Prompts and Instructions: Detailed and clear instructions are essential for tailored outputs
• Brand Voice Setup: Optimizing AI for your specific tone and objectives
• Model Selection: Choosing the most suitable AI model (GPT, Gemini, Claude, etc.) for your task

Users acknowledge that AI-generated results are inherently variable and dependent on the input provided.

5. Prohibited Activities

You agree not to use BoodleX AI for:

• Illegal or harmful activities, including generating content that violates laws or regulations
• Uploading or generating content that infringes intellectual property rights
• Sharing offensive, harmful, or inappropriate content, including hate speech, violence, or sexually explicit materials
• Misleading or impersonating others without consent
• Reverse-engineering or attempting to access the source code of BoodleX AI
• Developing non-fungible tokens (NFTs) or similar blockchain products without explicit permission

6. Intellectual Property

6.1 Third-Party API Integration

Our service integrates with various third-party AI APIs. You acknowledge that your use of these APIs through our platform is subject to the respective terms of service of each API provider.

• You are responsible for ensuring your use complies with all applicable third-party terms of service
• We are not responsible for any violations of third-party terms of service or any actions taken by API providers against your account

6.2 Intellectual Property Disclaimer

• We do not claim ownership of any AI models, algorithms, or outputs generated by third-party APIs
• All trademarks, service marks, and company names mentioned are property of their respective owners
• No affiliation, partnership, or endorsement is implied by the use of third-party company names or trademarks

7. Fees and Payment

7.1 Payment Terms

• Certain features are subject to fees as described on the platform
• All payments are processed securely through third-party payment processors
• You authorize us to charge your payment method for all fees and charges

7.2 Service Plan Modifications

Existing User Protection: Changes to service plans may not affect existing users who have purchased lifetime access, unless such changes are necessary for:

• Legal compliance
• Security improvements
• Prevention of service abuse
• Technical infrastructure requirements

Notice of Changes: Users will be notified of significant plan changes with reasonable advance notice where possible.

Grandfathering Policy: Existing lifetime users may be grandfathered into their current plan terms, subject to fair use policy compliance.

• Up to 20% usage: Eligible for 50% refund
• More than 20% usage: No refund issued
• No usage at all: Eligible for full refund upon request

Refund Request Process: All refund requests must be submitted through the official BoodleX AI support system with a valid ticket number.

8. Service Availability and Performance

• BoodleX AI aims to maintain 97%+ uptime. However, interruptions may occur due to maintenance, upgrades, or unforeseen events
• BoodleX AI is not responsible for any downtime caused by third-party service providers or force majeure events
• We reserve the right to modify, suspend, or discontinue any part of the service with or without notice
• We may impose limits on certain features or restrict access to parts of the service without notice or liability

9. Comprehensive Fair Use Policy

9.1 Usage Limits and Monitoring

Users are subject to generous daily usage caps to ensure the platform is not exploited, particularly for unlimited all-inclusive packages. BoodleX AI is designed for low to moderate usage levels that align with typical business or personal needs.

9.2 Consequences of Fair Use Violations

In cases of Fair Use Policy violations, BoodleX AI may:

• Restrict the user's activities temporarily
• Implement usage throttling or caps
• Terminate the account permanently
• Issue a refund to conclude the relationship

9.3 Refunds for Fair Use Violations

The amount refunded in such cases will be determined at BoodleX AI's sole discretion based on:

• The severity of the policy breach
• The extent of platform exploitation
• The duration of the violation

9.4 AI Avatar (AI Persona) Video Fair Use Policy

Usage Intent

Videos must be used for legitimate content creation purposes including but not limited to:

• Social media content
• Marketing materials
• Educational content
• Business presentations
• Personal branding content

Strict Usage Thresholds

While we offer "unlimited" video generation, this is subject to strict fair use principles designed to prevent abuse of this high-cost feature:

• Daily Limit: Users generating more than 10 minutes of AI Avatar video content per day will be flagged for immediate review
• Monthly Limit: Users generating more than 200 minutes of AI Avatar video content per month will be subject to account restrictions or termination
• Exceeding Limits: Any usage above these thresholds is considered abuse unless pre-approved by BoodleX AI support for legitimate business needs
• No Automatic Approval: Users cannot assume higher usage is acceptable - all usage above limits requires explicit written approval

Sustainable Service Model

9.5 Appeal Process

Users may appeal fair use violations through our official support system within 30 days of notification.

10. Digital Products and Downloads

10.1 Non-Refundable Digital Products

• BoodleX AI may offer digital downloadable products as part of its services or promotions
• Once digital products are downloaded, they are considered used and are non-refundable
• Users are encouraged to thoroughly review product details before making a purchase

11. Content Moderation and Compliance

11.1 Content Review

• We reserve the right to review, monitor, or remove any user-generated content at our discretion
• Content that violates these Terms may be removed without notice
• We may suspend or terminate accounts for repeated violations

11.2 Reporting Violations

Users may report violations of these Terms through our support system. We will investigate reports in good faith but make no guarantee of specific action.

Our total liability is limited to the fees paid by the user in the 12 months preceding the claim, or $100 CAD, whichever is less. This limitation applies regardless of the legal theory upon which the claim is based.

Users agree to indemnify, defend, and hold harmless BoodleX AI against all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from:

• Use of our services in violation of these Terms
• User-generated content
• Violation of any third-party rights
• Any breach of representations or warranties made herein

• BoodleX AI adheres to Canadian privacy laws and other applicable data protection regulations
• Personal data is processed in accordance with our Privacy Policy, available on the platform
• We implement industry-standard security measures but cannot guarantee absolute security
• Users are responsible for maintaining the security of their account credentials

17.1 Image Generation

• Users agree to comply with intellectual property laws and avoid generating harmful or misleading images
• Users must not generate images that could infringe on copyrights, trademarks, or personality rights

17.2 Avatar Creation

• Users must not create or use avatars that impersonate individuals without consent
• Avatars must not be used for deceptive or harmful purposes

17.3 Text Suite

• Users are responsible for ensuring compliance with copyright laws for any text generated
• Generated text must not be used to create spam, misleading content, or illegal materials

17.4 Voice and Audio

• Users must respect voice and personality rights when using voice generation features
• Voice cloning must only be used with proper authorization from the voice owner

18.1 Termination by BoodleX AI

• BoodleX AI reserves the right to suspend or terminate access for users who breach these Terms
• We may terminate accounts immediately for serious violations or after warnings for minor violations
• Upon termination, all user rights under these Terms cease immediately

18.2 Termination by User

• Users may terminate their account at any time through their account settings
• Termination does not entitle users to refunds except as provided in our Refund Policy

18.3 Effect of Termination

• Upon termination, access to the service will be discontinued
• We may retain certain information as required by law or for legitimate business purposes

19. Force Majeure

BoodleX AI shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms and any rights granted hereunder may not be transferred or assigned by you without our prior written consent. We may assign these Terms without restriction.
